I=92m operating under the theory that they are voluntarily vacating their s=
eats and we are appointing replacements per Article 5 Section 9. If this we=
re anything more than a temporary expedient to satisfy the requirements for=
 today=92s filing, I would request further debate on whether this interpret=
ation is valid before proceeding.

Since time is of the essence, and hearing no objection, I=92m going to proc=
eed with the filing under the assumption that it is a valid interpretation,=
 recognized by a quorum of the board and hearing no objections. My understa=
nding of parliamentary procedure is that we have flexibility in terms of le=
vel of formality within a Board meeting.

I would welcome further discussion, and if people feel it it necessary, an =
additional motion to clarify whether or not these proceedings are valid. I =
don=92t want to set unhelpful precedents. That said, I think that I have wh=
at I need in order to be able to proceed to meet our filing deadline in goo=
d faith.

doi lojbab, I will follow up with you about amending the filing. I believe =
I now have mailing addresses for all directors.
