If Karen is President, then someone other than Karen has to be Vice President, so "as they are" doesn't work. I think the effective choices for VP are you and me, given the discussion, and lack of interest in officer-ship indicated by other directors. I won't refuse to be VP, but have no objection if the Board selects you instead. But you didn't specify a nominee, so that part of your "all officers" is invalid. I'll therefore take your motion as applying to (Karen as) President and (mukti as) Secretary/Treasurer, and we can vote on VP in a separate motion. Unless there is opposition, 4 votes will elect Karen and mukti, and I will turn the chair of this meeting over to Karen at that point, to elect a VP and then move on to any other business.
