Riley can perhaps explain more thoroughly if necessary, but the basic
purpose is, since I am getting old, and came rather too close to dying
last year, we have to prepare for the day when I (and Nora) no longer
can serve as the Registered Agent. The norm for keeping a corporation
going when none of the officers lives in the state of incorporation is
to have a legal firm serve as the Registered Agent, and maintain a
corporate address.

Post bylaw change, such a legal firm would not serve on the Board of
Directors, and would not be a corporate officer. But so long as I
continue to do the job, the members could still elect me to the Board.
It just wouldn't be automatic that I would be on the Board.

There are other Lojbanists in Virginia who might be able to serve as
Registered Agent, and it may be better to save the cost when we can, but
we have to be prepared for the worst.
