Other than the last clause this isn't much of a difference from a functional perspective. It says nothing about qualifications or responsibilities. Tommy Whitlock is completely absentee, and for all we know might be dead. But because he's a founder, we're not dropping him. So obviously the standard is quite low. If I'm gonna be the same as a guy who, for all we know, doesn't even possess the qualification of a breathing warm body, I don't know why I need to know the difference between the membership and the board.
