Since this is tax week, (and as well, many of you are on or just back from expensive Spring break vacations)… and some of you, who might not have the best tax counsel, are actually writing checks… This will be a very short newsletter. Easy to read and companies to buy that won’t cost you very much to acquire.

Some Really Good Small Deals

A List of Publishing Companies and Lines for Sale Under $300,000

 

It is important to note that this list is fluid… and I do receive one or two inquiries a week to represent new sales… so, if you are looking for something specific… up to about $5-6 Million… send me an email at mfoner@nplconsult.com and let me know what it is… or we can speak briefly about your interests on the telephone.

Realize, as well, that many of these ‘inquiries’ are publishers who pitch me to sell their companies, but are just not ready to be sold. They require work, in advance, to be even marketable, and then more work to organize their information in a way that makes them both attractive and easy to understand and acquire. These companies do not come up on the list until it is time…but if I get a ‘buy’ request and am working on a ‘sell’ company… I will put them together if appropriate, off market.

MANY deals I do never hit radar… and so much the better for it. Someone approaches me on each side and often timing is good and things get done.

 

1. Small Educational Publisher. I have a small educational publisher who specializes in early reading and math for sale. I have mentioned the company before and they are willing to sell the whole small company at once or sell off their titles individually. The owners want to retire now, and are not really interested in a long term buy out. Just to retire. For the whole company, under $75,000.

2. Primarily Travel Guide Books. I also have a 25 year old small publisher specializing in travel guide books… US, Europe, everywhere… about 40 titles… a few titles in genealogy… and a few titles in careers… If you are interested, I am going to have the genealogy and career books separated, if possible, for separate sales… so let me know now, which parts you are interested in, or if you would like the whole company. It appears that this will go right around $200,000…. Could go in the high 180’s-190’s… if you move quickly.

3. Directory Currently Dormant. I have a professional directory that was active for roughly 20 years, with a premier name in the field that has gone dormant for the last four. When it was last active, it was sold, and the new owner simply didn’t have the time and energy to look after it and let it go dormant. There won’t be much in the way of records or back up… but again, the price, which has been a discussion, would be primarily for the goodwill of the name, about 15,000 listings in the directory, a very short buyer list, advertiser list, and other files.

Pricing is $9,500 on closing and 10% of revenues for two years.

4. Nine Book Series Very Similar to Harry Potter. I have a very fascinating series of books… very, very much in the format and writing and style of Harry Potter, except written to a higher level, well-illustrated, and really a more teen/adult version based on reading level. This was written in three trilogies… nine books total. Many are now in print, self-pub, and a few are in production phase, ready to print. The author is looking for $45,000 for all including all current inventory of those already in print… plus a downline royalty.

Let me make a comment here. I missed acquiring the rights to Harry Potter in Canada by about a week back in the day. Of course, were I that smart and snagged those rights… I would have been a reasonably wealthy man. If I were still an active publisher with staff and a pipeline… I would take this series and turn it into a 5% version of Harry Potter… 5% of a Billion dollars… $50 Million… so you only need to do 5% as well as H.P. to make a huge hit. I have had two companies review and hold these books for a while… but neither wanted to make the commitment. I still don’t get it.

 

5. Hybrid Fiction Publisher. I also have an interesting company, in business for a few years, with almost 150 titles, many in thriller, mystery, some western, and a smattering of non-fiction. Most are in ebook format and some are dual, ebook and physical. Sales are increasing toward 100K. Profits are, obviously, strong on this but this company’s primary interest is in selecting books for film making. They are happy to consider an arrangement where they keep bringing titles to the new owner as long as they can work the film rights. They are seeking roughly $295,000 plus a down line percentage/royalty to be determined.

There is a fair amount of buying activity despite the “unusual” political activity. I believe it has something to do with the Fed raising interest rates and speaking of two more raises this year. If the Fed feels there is strength, and that is coming in the summer and fall, this is a good time to make a move as a buyer… thus, we need sellers to match to buyers…

And remember my answer to the age old question: When is the best time to sell my publishing company? My answer: The day after you first start thinking about it. And I have a number of solid reasons for this reply. Maybe next newsletter I will answer this in detail.

How do I determine a successful bulk sales campaign?

          That all depends on what your goals were to do a bulk campaign… but if you are strictly looking at numbers, compute your costs, then once you have hit gross revenues of double that figure… you have now become profitable. So, if you spent $5,000 on your campaign, you need to hit $10,000 in revenues to become profitable. That is what makes bulk campaigns so attractive… they don’t require much to be profitable… and the potential return can be very substantial… if you do, say $20,000 in revenues on 2,000 units, odds are you will be netting right at $10,000 after your $5,000 campaign expense and another $5,000 in book printing.

 

How do I copyright a book title?

          In general… you don’t. Book titles aren’t copyrightable. But… the only time you might be able to, and you will need to speak with an I.P. attorney… is if you can get the title to become part of your brand, and then file a trademark for the brand. If you get the trademark, then you have protected the title.

 

How do these free ebook sites get my ebook without my permission and what can I do about it?

          How they get your ebook isn’t relevant…but once they have it… you won’t be making sales as long as it is available for free. Contact the website and advise them you are the publisher of the book and haven’t given permission for your book to be put up on free sites. Ask politely for it to be removed within 24 hours as they don’t have permission to give your copyrighted product away for free. In general, the sites will cooperate with you within the day or two. If you get grief, you may have to take further action, like a letter from your attorney, but it is worth it if you are planning to continue to sell your ebook in the marketplace.

 

Didn’t there used to be a formula for retail book pricing based on the printing cost of the book? What was it and is it still viable?

          Yes. There used to be a rule of thumb that your retail was 8 to 10 times the printing cost of your book, assuming a decent initial press run. Thus, a book costing $1.80/copy would retail for $14.95 to $18.00.

          While this may still be the way some publishers price books, I prefer to use a combination of: what similar books are selling for in the marketplace, how you want to position your line or this specific title, and if you are planning to print it POD or short run initially and offset later on… using the offset cost as a double check on the pricing you have determined above.

          Since I used to heavily discount our titles in small and bulk quantities, I worked hard to overshoot the base retail price to allow for deep reductions and continued profitability. For example, a book that should be $20… I would sell at $25 if it was still competitive and within the marketplace… going down to $10 meant I was offering a 60% discount instead of 50%. Just good marketing to customers.

Currently, here’s what my clients are looking to acquire…

  • Relationship Related Non Fiction and Informational – topics dealing with relationships, human interest, people, and their issues

 

  • Pure EBook Companies, 100-1,000 titles+ considered – buyer is prepared to invest from a few hundred thousand to upwards of $3-$4 million, if the product line and revenues reflect this type of selling price

 

  • Interesting Craft, Hobby, and Personal Interest DIY and Non Fiction – client expanding into more personal crafts, hobbies, instructionals, DIY work, and related non-fiction, informational… is ok acquiring as few as a title or two or an entire company

 

  • Directories and Annuals – anything information that comes out semi, or annually, or biennially, in hard copy directory format, or online only… with or without paid advertising… small to large
