It is valid.  I do not believe there is any requirement that the chair of
the BPFK must be a member of the LLG.

If selpahi also resigns as chair, then it is too late for the LLG meeting
to act, as the adjournment has already passed.  The chair can remain open
until the next meeting, or the Board can appoint a chair (this is why the
Board exists, to act when necessary between membership meetings).
